Terms and Conditions

These terms (“Terms”) are incorporated into any purchase order (“Order”) for goods and other deliverables (referred to as “Goods”) and services (“Services”) issued by Jaidot LLC to the supplier providing the Goods and/or Services identified in that Order (“Seller”), between Jaidot LLC and Seller (the “Parties”).
  1. Scope: No additional or conflicting term in any Seller acknowledgment, invoice, bid, proposal, or other documentation is binding on Jaidot LLC. All Goods and Services will be delivered to Jaidot LLC in strict conformance with any packaging, product, and/or service standards, specifications, and other requirements provided by Jaidot LLC or approved in writing by Jaidot LLC (the “Requirements”).
  2. Delivery: Unless otherwise stated in the Order, Goods are sold FOB or FCA (Incoterms 2010) as specified in the Order. Seller will deliver all Goods and Services within the time period stated in the Order. TIME IS OF THE ESSENCE FOR ALL ORDERS.
  3. Prices and Payment: Goods and Services will be delivered for the price stated in the Order. Payments are net 30 days in United States dollars. Each invoice must relate to only one Order and include specific details as outlined in the Terms.
  4. Order Change, Suspension, or Cancellation: Jaidot LLC may change, suspend, or cancel an Order under specified conditions. In case of cancellation, Seller may be entitled to certain reimbursements as detailed in the Terms.
  5. Trademarks: Seller’s use of Jaidot LLC trademarks or logos must comply with the Requirements and Jaidot LLC’s directives.
  6. Jaidot LLC Material & Equipment: Jaidot LLC owns any materials and equipment provided to Seller for the fulfillment of Orders. Seller is responsible for their safekeeping and proper use.
  7. Warranties & Remedies: Seller warrants that all Goods and Services conform to the Requirements and applicable laws. Jaidot LLC may reject any non-compliant Goods or Services.
  8. Compliance with Laws & Product Content: Goods and packaging must comply with applicable laws regarding product content. Seller ensures lawful employment authorization for all personnel and adherence to shipping regulations.
  9. Confidential Information: Seller must keep all Jaidot LLC Confidential Information confidential and use it only as necessary to perform under the Order.
  10. Indemnification & Insurance: Seller will indemnify and hold Jaidot LLC harmless against any claim arising from Seller’s failure to comply with the Order’s Terms. Seller must maintain appropriate insurance.
  11. Government Flow-Downs: Certain Federal Acquisition Regulation (FAR) and Defense FAR Supplement (DFARS) contract clauses may be flowed down in Orders due to Jaidot LLC’s sales to the U.S. Government.
  12. Unavoidable Delay: A Party is excused from performance during certain uncontrollable events, subject to specific terms outlined in the Terms.
  13. Seller Waiver of Damages: Jaidot LLC will not be liable for certain types of damages related to Goods, Services, Orders, or their termination.
  14. Dispute Resolution: Disputes are governed by the laws of the State of Georgia, USA, and must be litigated in Georgia state courts. Each Party consents to the personal jurisdiction of Georgia courts.
  15. Notices: Specific procedures and addresses for notices are detailed in the Terms.
  16. General Terms: The Order is the final agreement between the Parties. These Terms cover various aspects including safety, regulatory compliance, warranty, indemnity, confidentiality, and assignment.
